The\nMetaalunie member who applies these terms and conditions is referred to as the\ncontractor. The other party is referred to as the client.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">1.2. These\nterms and conditions apply to all offers made by a Metaalunie member, to all\nagreements that it enters into and to all agreements arising from this, all of\nwhich insofar as the Metaalunie member is the contractor.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">1.3. In the\nevent of a conflict between a provision of the concluded agreement and these\nterms and conditions, the provision of the agreement shall prevail.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">1.4. Only\nMetaalunie members may use these terms and conditions.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 2:\nOffers<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">2.1. All\noffers made by the contractor are without obligation and revocable, including\noffers that include a term for acceptance. The contractor is entitled to revoke\nits offer up to two working days after it has received the acceptance.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">2.2. The\nprices stated by the contractor in the offer are expressed in euros, excluding\nVAT and other government levies or taxes. In addition, the prices do not\ninclude travel, accommodation, packaging, storage and transport costs or costs\nfor loading, unloading and cooperating with customs formalities.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">2.3. Unless\notherwise specified, the offer does not include:<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">a.\ngroundwork, pile driving, cutting, breaking, foundation work, masonry,\ncarpentry, plastering, painting, wallpapering, repair work or any other\nconstruction work;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">b. making\nconnections to gas, water, electricity, internet or other infrastructural\nfacilities;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">c. measures\nto prevent or limit damage to, of theft or loss of, goods present at or near the\nworkplace;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">d. removal\nof materials, soil, building materials or waste;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">e. vertical\nand horizontal transport.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 3:\nConfidentiality<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">3.1. All\ninformation provided by or on behalf of the contractor to the client (such as\noffers, designs, images, drawings and know-how) of whatever nature and in\nwhatever form is confidential. The client will only use this information for\nthe execution of the agreement. The client will not disclose or reproduce the\ninformation.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">3.2. If the\nclient breaches an obligation under paragraph 1, it will owe an immediately\npayable penalty of \u20ac 25,000 per breach. The contractor may claim this penalty\nin addition to damages under the law.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">3.3. The\nclient must return the information referred to in paragraph 1 upon first\nrequest, within a period set by the contractor, at the contractor\u2019s discretion,\nor destroy it in a manner to be determined by the contractor, without being\nallowed to retain a copy in any form whatsoever. In the event of a breach of\nthis provision, the client shall owe the contractor an immediately payable\npenalty of \u20ac 1,000 per day. The client can claim this penalty in addition to\ncompensation under the law.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 4:\nAdvice and information provided<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">4.1. The\nclient cannot derive any rights from advice and information provided by the\ncontractor that is not related to the contract.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">4.2. If the\nclient provides information to the contractor, the contractor may assume the\naccuracy and completeness of this information when making an offer and\nperforming the agreement.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">4.3. The\ncontractor is not obliged to warn of, or to independently investigate, any\ninaccuracies in the order, defects and unsuitability of goods originating from\nthe client and errors or defects in plans, drawings, calculations,\nspecifications or implementation instructions provided by the client.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">4.4. The\nclient indemnifies the contractor against any third-party claim in connection\nwith (the use of) information provided by or on behalf of the client. This\nincludes advice, instructions, drawings, calculations, designs, materials,\nbrands, samples and models. The client shall compensate the contractor for all\ndamage suffered. This includes the full cost of legal defence.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 5:\nDelivery time<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">5.1. All\ndelivery times, which includes in these conditions a delivery date, week,\nmonth, term or implementation period, are indicative. If these are exceeded,\nthe client must issue the contractor at all times with a notice of default.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">5.2. The\ndelivery time shall apply only when the client and the contractor have reached\ntimely agreement on all commercial and technical details, all information,\nincluding final and approved drawings and the like, is in the possession of the\ncontractor, all items to be made available by the client have been received by\nthe contractor, the agreed (instalment) payment has been received in time and\nthe other conditions for the execution of the order have been fulfilled. If the\ndelivery time no longer applies, the contractor may determine a new delivery\ntime taking into account the contractor\u2019s schedule.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">5.3. The\ndelivery time no longer applies if there are circumstances other than those\nknown to the contractor when it specified the delivery time and those\ncircumstances are at the expense and risk of the client, including changes to\nthe order, contract variations or suspension by the contractor. If the delivery\ntime no longer applies, the contractor may determine a new delivery time taking\ninto account the contractor\u2019s schedule.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">5.4. The\nclient must reimburse the contractor for all costs, damage and loss incurred or\nsuffered by the contractor as a result of a change in the delivery time as\nreferred to in paragraphs 2 and 3, without the need for a notice of default.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">5.5.\nExceeding the delivery time does not entitle the client to compensation or full\nor partial termination. The client indemnifies the contractor against claims\nfrom third parties as a result of exceeding the delivery time.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 6:\nDelivery and risk transfer<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">6.1.\nDelivery takes place at the time the contractor makes the item available to the\nclient at its premises and has notified the client accordingly. From that\nmoment on, the item is at the client\u2019s risk.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">6.2. If,\nafter the conclusion of the agreement, the contractor nevertheless arranges the\ntransport in whole or in part at the request of the client or assists the\nclient in this regard (such as storage, loading, stowage or unloading), this\nwill be at the expense and risk of the client. The client can insure itself\nagainst these risks.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">6.3. If\nafter delivery, transport is carried out by or on behalf of the client and the\ncontractor must have access to (transport) documents that are in the client\u2019s\npossession, the client must make those documents available to the contractor\nfree of charge upon first request.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">6.4. If an\nitem is exchanged and the client retains the item to be exchanged pending\ndelivery of the new item, the risk of the item to be exchanged remains with the\nclient until the time that it hands over the item to the contractor. If the\nclient is unable to deliver the item to be exchanged in the condition in which\nit was when the agreement was concluded, the contractor may terminate the\nagreement wholly or in part.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 7:\nPrice change<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">The\ncontractor may pass on to the client any increase in cost-determining factors\nthat occurred after the conclusion of the agreement. The client must pay the\nprice increase at the contractor\u2019s first request.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 8:\nForce majeure<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">8.1. If the\ncontractor cannot fulfil its obligations due to a circumstance beyond its\nactual control, this cannot be attributed to the contractors and results in\nforce majeure. In that event, the contractor shall not be liable for any damage\nsuffered by the client as a result. Except as provided in the fourth paragraph\nof this article, the client is in that event also not entitled to terminate the\nagreement in whole or in part.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">8.2. The\ncircumstances referred to in the first paragraph of this article include in any\ncase (civil) war (threat), terrorism, riots, outbreaks of infectious diseases\nand the resulting government measures or advice, natural disasters, extreme\nweather conditions, import or trade restrictions, explosion, fire, water\ndamage, sabotage, cybercrime, disruption of digital infrastructure, disruptions\nin the supply of energy, (partial) loss, theft or loss of tools, materials or\ninformation, defects in machines, roadblocks, blockades of railways and\nwaterways or airports, strikes or work stoppages, staff shortages and the\ncircumstance that third parties engaged by the contractor, such as suppliers,\nsubcontractors and transporters, or other parties on which the contractor is\ndependent, do not or do not timely fulfil their obligations.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">8.3. The\ncontractor is entitled to suspend fulfilment of its obligations if it is\ntemporarily prevented from fulfilling its obligations to the client due to\nforce majeure. Once the force majeure situation has ended, the contractor shall\nfulfil its obligations as soon as its schedule permits.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&nbsp;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">8.4. If\nthere is force majeure and compliance is or becomes permanently impossible, or\nthe temporary force majeure situation has lasted for more than six months, the\ncontractor is authorised to terminate the agreement wholly or in part with\nimmediate effect. In those cases, the client is entitled to terminate the\nagreement with immediate effect, but only for that part of the obligations that\nthe contractor has not yet fulfilled.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&nbsp;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">8.5. The\nparties are not entitled to compensation for the damage suffered or to be\nsuffered as a result of the force majeure, suspension or termination as\nreferred to in this article.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&nbsp;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 9:\nContract extras<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&nbsp;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Contract\nextras are calculated on the basis of the prices applicable at the contractor\nat the time the additional work is carried out. The client must pay the price\nfor the contract extras on the contractor\u2019s first request.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&nbsp;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 10:\nExecution of the work<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&nbsp;<\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">10.1. The\nclient shall ensure that the contractor can perform its work safely,\nundisturbed, uninterrupted and at the agreed time. The client shall ensure at\nits own expense and risk that:<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">a. all\npermits, exemptions and other decisions necessary to carry out the work have\nbeen obtained in a timely manner. The client is obliged to provide the\ncontractor with a copy of the aforementioned documents on the contractor\u2019s\nfirst request;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">b. the\nclient informs the contractor in writing and in a timely manner of all (safety)\nregulations applicable at the location;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">c. the\ncontractor is provided with the necessary auxiliary personnel, tools and\nfacilities (such as gas, water, electricity, internet, suitable access roads\nfor any necessary transport, lifting and hoisting cranes, sanitary facilities\nand a lockable dry storage space) when carrying out its work;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">d. all\nactivities necessary for the execution of the work and not included in the\nagreement have been carried out on time.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">10.2. The\nclient bears the risk and is liable for damage to and theft or loss of all\nitems located at or near the place where the work is carried out or at any\nother agreed place, such as the item delivered or to be delivered, tools,\nmaterials intended for the work or equipment used in the performance of the\nwork. This does not apply if the client proves that the damage, theft or loss\nwas caused by the contractor itself.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">10.3.\nWithout prejudice to the provisions of paragraph 2 of this article, the client\nmust take out adequate insurance against the risks mentioned in that paragraph.\nIn the event of damage, the client is obliged to report this immediately to its\ninsurer for further processing and settlement.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 11:\nDelivery of the work<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">11.1. The\nwork is deemed to be delivered if:<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">a. the\nclient has approved the work;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">b. the work\nhas been put into use. If part of the work has been put into use, that part is\nconsidered to be delivered;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">c. the\ncontractor has notified the client in writing that the work has been completed\nand the client has not notified the contractor in writing within 14 days of the\ndate of such notification that the work has not been approved;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">d. the\nclient does not approve the work on the grounds of minor defects or missing\nparts that can be repaired or delivered within 30 days and that do not prevent\nthe work from being put into use.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">11.2. The\ncontractor is not obliged to provide the client with a document within the\nmeaning of Section 7:757a of the Dutch Civil Code regarding the construction\nwork that has been completed and is to be delivered (a \u2018transfer or delivery\nfile\u2019).<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">11.3. If\nthe client does not approve the work, it is obliged to inform the contractor of\nthis in writing, stating the reasons. The client must give the contractor the\nopportunity to deliver the work at a later date<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 12:\nLiability<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">12.1. If\nthe contractor is liable for whatever reason, such liability shall at all times\nbe limited as stipulated in the following paragraphs.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">12.2. If\nthe contractor has any insurance taken out by it or on its behalf that provides\ncover, the contractor\u2019s obligation to compensate for damage shall be limited to\nthe amount paid out under such insurance in the relevant case.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">12.3. If\nthe contractor has no insurance as referred to in the previous paragraph or no\namount is paid out under such insurance for whatever reason, the obligation to\ncompensate for damage is limited to a maximum of 15% of the order price\n(excluding VAT). If the agreement consists of parts or partial deliveries, this\nobligation is limited to a maximum of 15% (excluding VAT) of the order price of\nthe part or partial delivery in connection with which the contractor\u2019s\nliability has arisen. If it concerns continuing performance contracts, the\nobligation to compensate for damage is limited to a maximum of 15% (excluding\nVAT) of the contract price owed over the last twelve months prior to the\ndamage-causing event.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">12.4. The\nfollowing do not qualify for compensation:<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">a.\nconsequential damage. Consequential damage includes, but is not limited to:\nbusiness interruption loss, loss of production, loss of profit, missed savings\nand subsidies, tax disadvantages, costs incurred in vain, internal costs of the\nclient, reduced goodwill and damage to reputation, penalties, damage resulting\nfrom liability of the client towards third parties, loss in connection with\ndamage, destruction or loss of data or documents, transport costs and travel\nand accommodation expenses, storage costs, costs for replacement equipment and\nlabour and costs in connection with recall actions;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">b. damage\nto goods caused by or during the performance of the work to goods that are\nbeing worked on or to goods that are located in the vicinity of the place where\nthe work is being carried out (opzichtschade);<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">c. damage\nto or caused by or with equipment provided to the contractor;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">d. damage\nas a result of intent or wilful recklessness by the contractor\u2019s auxiliary\nstaff or non-managerial subordinates.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">e. damage\nto material supplied by or on behalf of the client, including as a result of\nimproperly executed processing, assembly, mounting or installation. The client\nmay insure itself against these types of damage if possible.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">12.5. The\nclient indemnifies the contractor against all claims from third parties\nresulting from a defect in a product supplied by the client to a third party\nand of which the products or materials supplied by the contractor form part.\nThe client must compensate for all damage suffered by the contractor in this\nregard, including the full costs of legal defence.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">12.6. Any\nclaim for damages by the client shall lapse after a period of twenty-four\nmonths from the date it arose unless the client has brought the claim before\nthe competent court before the expiry of that period.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 13:\nGuarantee and other claims<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.1.\nUnless otherwise agreed in writing, the contractor guarantees the proper\nexecution of the agreed performance for a period of six months after delivery\nor completion, as detailed in the following paragraphs.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.2. If\nthe parties have agreed to deviating guarantee conditions, the provisions of\nthis article will remain in full force, unless and insofar as this is in\nconflict with those deviating guarantee conditions.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.3. The\nclient must lend all cooperation free of charge to the investigation by or on\nbehalf of the contractor of a complaint by the client about the performance\ncarried out, failing which all rights of the client in connection with that\ncomplaint shall lapse.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.4. If\nthe contractor has rejected a complaint about the performed service on good\ngrounds, the client must reimburse all costs reasonably incurred in connection\nwith investigating the complaint.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.5. If\nthe agreed performance has not been properly executed, the contractor will\nchoose whether to perform it properly, replace the delivered item in whole or\nin part, or credit the client for a reasonable part of the order amount.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.6. If\nthe contractor chooses to properly perform the service or to replace the\ndelivered item in whole or in part, the client will in all cases offer the\ncontractor the opportunity to do so. The contractor determines the method and\ntime of execution. If the agreed performance (also) included the processing of\nmaterial provided by the client, the client must supply new material at its own\nexpense and risk.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.7. Items\nto be repaired or replaced by the contractor must be sent to the contractor by\nthe client. Transport, shipping, disassembly and assembly are at the expense\nand risk of the client. In addition, travel, accommodation and travel hours are\nfor the account of the client. The contractor is authorised to require security\nor advance payment for these costs.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.8. The\ncontractor is not required to implement the guarantee until the client has fulfilled\nall its obligations.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.9. a.\nThe guarantee does not cover defects that are the result of:<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; normal\nwear and tear;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; improper\nuse;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; lack of\nmaintenance, or incorrectly performed maintenance;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211;\ninstallation, assembly, disassembly, change or repair by the client or by third\nparties;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; defects\nin or unsuitability of items, materials or tools originating from, or\nprescribed by, the client.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">b. No\nguarantee is given for:<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; items\ndelivered that were not new at the time of delivery;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211;\ninspecting, repairing and overhauling items;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; items\nunder manufacturer\u2019s warranty;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; items for\nwhich a guarantee has been granted to the client by third parties.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">13.10. The\nprovisions of paragraphs 3 to 8 of this article apply by analogy to any of the\nclient\u2019s claims based on breach of contract, non-conformity or any other basis\nwhatsoever.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 14:\nObligation to complain<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">14.1. In\nany case, the client no longer has the right to invoke a defective performance\nif it has not complained to the contractor in writing within fourteen days\nafter it discovered or should reasonably have discovered the defect.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">14.2. The\nclient must have submitted complaints about the invoice with the contractor in\nwriting and within the payment term, subject to forfeiture of all rights. If\nthe payment term is longer than thirty days, the client must have submitted its\ncomplaint in writing within thirty days of the invoice date at the latest.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 15:\nFailure to take possession of goods<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">15.1. The\nclient is obliged to take actual possession of the goods that are the subject\nof the agreement at the agreed location at the end of the delivery period.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">15.2. The\nclient must cooperate fully and free of charge to enable the contractor to\ndeliver the goods.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">15.3. Goods\nnot taken into possession are stored at the client\u2019s expense and risk.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">15.4. In\nthe event of a breach of the provisions of paragraph 1 or 2 of this article,\nthe client shall, after the contractor has given notice of default, owe the\ncontractor a penalty of \u20ac 250 per day for each breach, with a maximum of \u20ac\n25,000. This penalty can be claimed in addition to damages by virtue of the\nlaw.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 16:\nPayment<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.1.\nPayment is made at the contractor\u2019s business address or into an account to be\ndesignated by the contractor.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.2. Unless\notherwise agreed, payment is made within 30 days of the invoice date.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.3. If\nthe client fails to fulfil its payment obligation, it is obliged to comply with\na request from the contractor for a benefit in kind instead of the agreed\namount.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.4. The\nclient\u2019s right to offset its claims against the contractor or to suspend the\nfulfilment of its obligations is excluded unless the contractor has been\ngranted a suspension of payments or is bankrupt or the statutory debt\nadjustment scheme applies to the contractor.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.5.\nIrrespective of whether the contractor has fully executed the agreed\nperformance, everything that the client owes or will owe it under the agreement\nis immediately due and payable if:<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">a. a\npayment term has been exceeded;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">b. the\nclient fails to fulfil its obligations under article 15;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">c. the\nclient has not provided security upon first request under Article 17 of these\nterms and conditions;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">d. the\nclient has filed for bankruptcy or suspension of payments;<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">e.\nattachment is levied on goods or claims of the client; f. the client (company)\nis dissolved or wound up; g. the client (a natural person) files an application\nto be admitted to the statutory debt adjustment scheme, is placed under a\nguardianship order or has passed away.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.6. In\nthe event of late payment, the client shall owe interest on the amount payable\nto the contractor from the day following the day agreed as the final day for\npayment until and including the day on which the client makes payment. If the\nparties have not agreed on the final day of payment, the interest is due from\n30 days after the sum has become due and payable. The interest is 12% per year\nbut will be equal to the statutory interest if this is higher. For the interest\ncalculation, a part of the month is considered to be a full month. At the end\nof each year, the amount on which the interest is calculated will be increased\nby the interest due for that year.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 18:\nIntellectual Property Rights<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">18.1. The\ncontractor shall be regarded as creator, designer, deviser or inventor,\nrespectively, of the works, models, signs or inventions created under the\nagreement. The contractor has the exclusive right to apply for a patent,\ntrademark or model.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">18.2. The\ncontractor will not transfer any intellectual property rights to the client in\nthe performance of the agreement.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">18.3. If\nthe performance to be delivered by the contractor (also) includes providing\ncomputer software, the source code will not be handed over to the client. The\nclient will only acquire a non-exclusive, worldwide and perpetual licence for\nuse for the computer software solely for the purpose of the normal use and\nproper functioning of the item.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">18.4. The\nclient is not permitted to transfer the licence or to issue a sub-licence. This\nprovision has effect under property law. Only in the event of resale of the\nitem in connection with which the contractor has supplied the computer software\nshall the licence pass to the acquirer of the item under the same conditions\nand restrictions as set out in this article, provided that the purchaser of the\nitem has accepted these conditions in writing.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">18.5. The\ncontractor is not liable for damage that the client suffers as a result of an\ninfringement of third-party intellectual property rights.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">18.6. The\nclient indemnifies the contractor against any third-party claims related to an\ninfringement of intellectual property rights.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 19:\nTransfer of rights or obligations<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">The client\nmay not transfer or pledge any rights or obligations pursuant to any article in\nthese general terms and conditions or the underlying agreement(s), unless it\nhas the prior written consent of the contractor. This provision has effect\nunder property law.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 20:\nTermination or cancellation of the agreement<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">20.1. The\nclient is not entitled to terminate or cancel the agreement in whole or in\npart.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">20.2. The\ncontractor may agree to a request to terminate the agreement. In that case, the\nclient shall owe a payment of at least 20% of the agreed or budgeted price. The\ncontractor is entitled to demand a higher payment or to impose further\nconditions for its consent.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 21:\nApplicable law and competent court<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">21.1. Dutch\nlaw applies. The Vienna Sales Convention (C.I.S.G.) or any other international\nregulation, the exclusion of which is permitted, shall not apply.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">21.2. The\nDutch civil court with jurisdiction in the place of establishment of the\ncontractor shall have exclusive jurisdiction over disputes arising from or\nrelated to the agreement. These terms and conditions constitute an integral\ntranslation of the Dutch version of the Metaalunie terms and conditions as\nfiled with the Registry of the Court of Rotterdam on 1 January 2025. The Dutch\nversion will prevail in the explanation and interpretation of this text.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.7. The\ncontractor is entitled to offset its debts to the client against claims that\ncompanies affiliated to the contractor have against the client. In addition,\nthe contractor is entitled to offset its claims to the client against debts\nthat companies affiliated to the contractor have against the client.\nFurthermore, the contractor is entitled to offset its debts to the client\nagainst claims on companies affiliated with the client. Affiliated companies\nare all companies that belong to the same group within the meaning of Section\n2:24b of the Dutch Civil Code and a participation within the meaning of Section\n2:24c of the Dutch Civil Code.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.8. In\nthe event of late payments, the client owes the contractor all extrajudicial\ncosts with a minimum of \u20ac 75. These costs are calculated on the principal\namount based on the following table:<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; on the\nfirst \u20ac 3,000 15%<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; on the\nexcess up to \u20ac 6,000 10%<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; on the\nexcess up to \u20ac 15,000 8%<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; on the\nexcess up to \u20ac 60,000 5%<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">&#8211; on the\nexcess from \u20ac 60,000 or more 3% The extrajudicial costs actually incurred are\ndue if they are higher than the calculation given above.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">16.9. If\nthe contractor is wholly or largely vindicated in legal proceedings, all costs\nincurred in connection with such proceedings shall be borne by the client.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">Article 17:\nSecurities<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">17.1. The\nclient is obliged to provide adequate security, at the contractor\u2019s first\nrequest, at the contractor\u2019s discretion, for all payments owed by the client to\nthe contractor under the agreement. If the client fails to comply with this\nprovision within the set time limit, it shall immediately be in default. In\nthat case, the contractor has the right to terminate the agreement and to\nrecover its loss from the client.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">17.2. The\ncontractor shall remain the owner of delivered goods until the client has\nfulfilled its obligations under any agreement with the contractor, including\nclaims for damages, penalties, interest and costs.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">17.3. If\nthe client has fulfilled its obligations after the contractor has delivered the\ngoods to it in accordance with the agreement, the retention of title with\nrespect to these goods is revived if the client does not fulfil its obligations\nunder an agreement entered into subsequently.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">17.4. As\nlong as the delivered goods are subject to retention of title, the client may\nnot encumber or dispose of these goods other than in the course of its normal\nbusiness operations. This provision has effect under property law.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">17.5. After\nthe contractor has invoked its retention of title, it may recover the delivered\ngoods. The client will cooperate fully with this.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">17.6. In\nthe event of a breach of the provisions of paragraph 5 of this article, the\nclient shall, after the contractor has issued notice of default, owe the\ncontractor a penalty of \u20ac 250 per day for each breach, with a maximum of \u20ac\n25,000. This penalty can be claimed in addition to damages by virtue of the\nlaw.<o:p><\/o:p><\/span><\/p><p>\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n<\/p><p class=\"MsoNormal\"><span lang=\"EN-GB\">17.7.
